Learning Outcome 1 (LO1): Students are capable of critically assessing corporate governance structures in different countries and evaluating how these systems impact managerial decisions, stakeholders, and overall firm performance.

Learning Outcome 3 (LO3): Students understand the implications as well as the pros and cons of various important corporate governance mechanisms and systems.
Learning Outcome 4 (LO4): Students are able to assess the incentive effects of different corporate governance mechanisms, considering the diversity of governance systems across global markets.
Learning Outcome 5 (LO5): Students can synthesize theoretical insights and empirical findings from academic research in corporate governance and articulate their implications for corporate practice.
Learning Outcome 6 (LO6): Students demonstrate the ability to critically analyze and evaluate current research trends and debates in corporate governance, forming evidence-based judgments on relevant research questions.

(*)The following topics will be covered:

  1. Defining corporate governance and key theoretical models
  2. Corporate control and ownership across the world
  3. Incentivizing and disciplining managers
  4. Family firms
  5. Taxonomies of corporate governance systems
  6. Boards of directors
  7. Corporate social responsibility and socially responsible investing
  8. Debtholders/Employee rights and voice across corporate governance systems

Learning Outcomes

Learning Outcome 2 (LO2): Students have knowledge of the fundamental concepts, theories, mechanisms and systems of corporate governance. (see course topics)

Beurteilungskriterien (*)In total, students have the possibility to reach 80 points (60 for the exam and 20 for the group work). A minimum of 30 points at the exam as well as 40 points in total is necessary in order to obtain a positive grade.

  1. Exam: Individual exam (60 minutes), there is a possibility to repeat it in case of negative results or scheduling issues (retry exam).
  2. Group work: Specific research questions in the field of corporate governance have to be elaborated in groups and presented in class.

Feedback culture:
Feedback includes feedback at the end of the presentations (mandatory) as well as individual feedback after the exam.

Lehrmethoden (*)The course uses a combination of different teaching methods in order to maximize the motivation and attention of the students and address the learning objectives in the didactically best way. This includes the following

  • Teacher-centered information inputs, supported by slides and literature
  • Self-directed learning, supported by literature
  • Analysis of specific research questions, which are elaborated in groups and presented as well as discussed in-class
